Terms of Service

Last updated: October 23, 2026

These terms govern your use of Black UI, a dashboard and app built and maintained by Thoiba Trader (Lanka, Hojai, Assam, India). By signing in to or using Black UI you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the service.

Black UI is currently offered in India only: the free plan runs on Google's free Gemini API quota and payments run through Razorpay in INR. We may extend to other countries in future, at which point these terms will be updated accordingly.

1. What Black UI is

Black UI is a multi-AI dashboard. It lets you chat with AI models (Google Gemini and other providers we connect), get help debugging and writing code, and build an Android app through your own GitHub account. Some features use third-party AI and platform services that we do not own or control. You can also add your own Anthropic Claude API key and GitHub token to use the features that need them.

2. Your account

  • You sign in with your Google account. You must be at least 18 years old, or have the consent of a parent or guardian where the law allows it, and provide accurate information.
  • You are responsible for everything done through your account and for keeping your Google account and devices secure. Tell us promptly if you think someone else has used your account.
  • Each account has its own unique user ID. Accounts are personal — do not share, sell or transfer them, and do not create multiple accounts to get around usage limits.
  • To run the service and help you, we can view your account record (such as your email, name, plan, coin and ticket balances and payment records) through a private administration dashboard, as explained in our Privacy Policy. This does not include your chats, files or keys, which stay on your device.

3. Your own keys and third-party accounts

If you add your own API keys or tokens (for example Anthropic Claude or GitHub), you are responsible for obtaining and securing them and for any charges or terms imposed by those providers. They are stored on your device and used directly with the provider. We have no visibility into, or control over, your usage or billing with them.

4. Your content and AI output

  • You keep ownership of the messages, files and code you provide ("your content"). You give us permission to process your content only as needed to provide the service to you, including passing it to the AI providers that generate replies.
  • You are responsible for your content and must have the right to use it.
  • AI output can be wrong, incomplete, outdated or unsuitable for your purpose. Check it before relying on it, especially for code that will be shipped, and for legal, medical, financial or other important decisions. We are not responsible for decisions you make based on AI output.
  • Using the AI's output. Text, code, images and any other content the dashboard generates in response to your prompts are yours to use freely, including for commercial purposes, with no restriction imposed by us on that output itself.

5. Ownership & what you can't do with Black UI itself

The permission in Section 4 covers what the AI generates for you — it does not extend to Black UI's own assets. Black UI, its design, name, logo, in-app reaction images/illustrations, and the website and app source code are owned by Thoiba Trader or its licensors and protected by law. These terms give you a limited, personal, non-exclusive, non-transferable right to use the service; they do not transfer ownership of any of the above to you. Specifically, you may not:

  • copy, redistribute or reuse the in-app reaction images, the Black UI logo, or other Black UI branding assets outside the dashboard, for any purpose;
  • copy, decompile, or modify the Black UI website or app source code to build, host, or offer a competing or derivative product or service.

The APK/AAB base template is a separate, intentionally open-source component published under the licence stated in its own GitHub repository (see Section 6) — the restrictions above do not apply to that template.

6. The APK/AAB builder & base template

The APK/AAB builder scaffolds and builds your Android app from a base template we maintain and publish at github.com/thoibatrader-ship-it/apk-template. By using this feature you acknowledge and agree that:

  • The build runs entirely inside your own GitHub repository and GitHub Actions, not on our infrastructure — the raw logs and output are always visible to you there.
  • To start a build the dashboard obtains a short-lived permit from us tied to your account; builds may be limited or refused if the permit is missing, expired or abused.
  • The base template is a shared component documented publicly at the link above; any behavior originating from that template (rather than from the dashboard's own code) is a template-level matter, and reported issues are addressed by updating the template, same as any other dependency.
  • We do not guarantee that every Android device, OS version, or app store's review policy will accept builds produced from the template; for example, we do not guarantee that Google Play or any other app store will approve an app built this way, since the template is a general-purpose starting point meant to cover many kinds of apps, not a guaranteed pass for every store's individual review.
  • Your signing password never reaches us. The keystore password you set is encrypted on your device before it leaves your browser, is never sent to or stored on our servers, is never visible to any AI model we use, and is used only inside your own GitHub Actions run to sign your app. We cannot see it or recover it for you — back up your .keystore file and password yourself; losing either means you cannot sign future updates to the same app listing.
  • GitHub's own limits apply and are outside our control. Because builds run on your own GitHub account and consume your own GitHub Actions minutes, GitHub's own usage limits and policies apply (for example, monthly free-tier Actions minutes). If your GitHub account hits a GitHub-side limit, your build will be delayed until GitHub's own limit resets or you upgrade your GitHub plan; this is a limit imposed by GitHub, not by Black UI, and purchasing Black UI coins or tickets does not purchase, extend, or reset GitHub's own quota. Payment for Black UI tickets covers our dashboard's build-orchestration service, not GitHub's infrastructure.
  • Tickets. An APK/AAB build and a screenshot capture each use tickets from your balance. The number of tickets needed is shown in the app before you start, and we may change it. Tickets are taken once per build or capture, when it actually starts running in your repository; retries of the same run do not use more tickets. Designing store images from screenshots you attach yourself does not use tickets (normal AI usage coins apply).
  • Screenshot capture and store images. Screenshot capture runs in your own GitHub repository, like the build. We do not guarantee that a capture will reach every screen of your app, or that any store will accept the images; you are responsible for checking that the images are accurate and follow the rules of the store you publish on.
  • You are responsible for what you build and publish, including complying with the rules of any app store you use.

7. Acceptable use

Do not use Black UI to:

  • break the law, infringe others' rights, or create, distribute or promote illegal, harmful, hateful, abusive or deceptive content;
  • create malware or attempt to attack, probe or disrupt Black UI or any third-party service;
  • harass others, or use the AI to produce content that violates the rules of Google, Anthropic, Groq, GitHub, Razorpay, any app store or any other connected provider;
  • bypass or overload usage limits or security measures, scrape the service, or use automated means to access it other than through the app;
  • reverse engineer or resell the service without our written permission, or build a competing product from Black UI's own source code or assets (see Section 5).

Because the service is provided through third-party AI and payment providers, misuse of your account can affect our access to those providers. We may warn you, limit, suspend or permanently block your account, and remove access, if we reasonably believe you are breaching these terms or abusing the service.

8. Usage limits and availability

To keep Black UI fair and stable we apply limits (for example the number of requests per minute or per day, coin and ticket balances) to each account, and we may change these limits, features or supported AI models at any time. Features labelled Beta, including Claude-powered coding and the APK/AAB builder, depend on third-party APIs whose availability, pricing and behavior can change without notice. We do not promise that the service will always be available or uninterrupted, and availability is currently limited to India as described above.

9. Payments, GST invoices, bonus credits & refund policy

Coins, APK build tickets and plan upgrades are purchased through Razorpay in INR. Prices are shown in Indian Rupees and include GST (currently 18%) unless we say otherwise. Once purchased, coins and tickets are added to your account and can be spent on AI usage and APK builds.

  • No refund for dissatisfaction with output. Because coins are consumed as soon as the AI processes your request, we do not offer refunds simply because you didn't like a reply, a build didn't work as hoped, or an app store didn't accept your APK. Please review Sections 4, 6 and 10 before purchasing.
  • Refunds for technical/payment errors only. The only situation where a refund applies is a genuine technical failure on our side — for example, your payment was deducted but the coins/tickets were never credited to your account, or you were charged twice for the same order. Contact us (see Section 14) with your order ID and payment details and we will investigate and correct it, normally by crediting the missing balance or refunding the specific payment in question.
  • Refund amount is capped at what you paid. In every case, the maximum we will ever refund for an issue is the actual amount you paid for that specific purchase. We are not liable for any amount beyond that, including any indirect, consequential or claimed loss connected to the purchase — see Section 10.
  • GitHub's own Actions-minutes limits (Section 6) are not a Black UI payment error and are not grounds for a refund of Black UI coins or tickets.

GST, billing details & invoices

  • Prices include GST. The price you pay is the total in INR including GST at the rate that applies (currently 18%). Your invoice shows the taxable value and the tax separately.
  • Billing state is required. Before you pay you must choose your billing state, and keep it accurate. Under Indian GST law it decides the place of supply, and so whether CGST + SGST or IGST is charged. We cannot start a payment without it. Choose the state where you are located (for a business invoice, the state of the GSTIN you give).
  • Personal or business invoice — chosen when you buy. By default you get a personal (B2C) invoice that shows only your state. If you need a business (B2B) invoice, tick the business option and give your business name, GSTIN and address before you pay. The GSTIN must be valid, belong to you or your business, and match the state you chose.
  • Issued invoices are not changed. An issued invoice is a tax record. We do not convert a personal (B2C) invoice into a business (B2B) invoice, and we do not add a GSTIN to an invoice afterwards. If you need a business invoice, save your business details and use them on your next purchase. Changes to your billing details apply to future purchases only.
  • You are responsible for what you enter. If the state, GSTIN or business details you give are wrong or are not yours, the consequences (including an invoice you cannot use to claim input tax credit) are your responsibility. Whether you can claim input tax credit depends on GST law and on your and our return filings, and we cannot promise it.
  • Where to find your invoice. A GST invoice is issued automatically after a successful payment, in the name of Thoiba Trader (our GSTIN is shown on it), and appears under Shop → Invoices in the app. If an invoice is missing, or has a mistake that is ours, write to us with your order ID (Section 14) and we will correct it as the law permits.
  • Refunds and credit notes. If we refund a purchase, we may issue a credit note against the invoice, as GST law requires.

Bonus coins and tickets

  • Given at our discretion. As part of our own marketing and growth plans, we may from time to time add bonus coins or tickets (“bonus credits”) to selected accounts, for example as a welcome bonus, a promotion or a goodwill gesture. Bonus credits are a gift, not something you are owed. You cannot request or demand them, we are not obliged to give them to any user or to every user, and a bonus may be a one-time event that is never repeated. Who receives one, and how much, is entirely our decision.
  • No cash value. Bonus credits are not money. They cannot be exchanged for cash, refunded or transferred, and they are used in the same way as purchased coins and tickets (on AI usage and APK builds), subject to the same limits in Section 8. Because they are not a payment, the refund terms above do not apply to them.
  • They do not change your plan. Receiving bonus credits does not upgrade you to a paid plan. Your plan, its limits and the AI processing tier that applies to your messages (see Section 4 of the Privacy Policy) stay the same.
  • We can change or end bonus offers. We may change, pause or stop giving bonus credits at any time without notice. Credits already added to your balance stay there, except that we may correct or remove credits that were added by mistake or obtained through misuse of the service, including creating multiple accounts (see Section 7).
  • We may email you to let you know a bonus has been added, but we are not required to.

10. Limitation of liability

To the maximum extent permitted by law:

  • Thoiba Trader is not responsible for the content of any AI reply, any code the AI writes, or any decision you make based on a chat with Black UI — you are solely responsible for reviewing and validating AI output before relying on it or shipping it.
  • Thoiba Trader is not liable for any financial loss, business loss, data loss, or other damage arising from your use of the dashboard, its AI output, or the APK/AAB builder (including the base template referenced in Section 6).
  • Thoiba Trader is not liable for indirect, incidental, special or consequential damages, including lost data, lost revenue or profits, or third-party API charges.
  • In every case, our total liability to you for any claim arising from your use of Black UI, however caused, is limited to the amount you actually paid us in the 12 months before the claim — and, for any single purchase-related claim, to the amount of that specific purchase as described in Section 9. This limit reflects that Black UI is a low-cost tool built by a small team, and is not intended, and should not be relied upon, for decisions carrying large financial or safety consequences.

Nothing in these terms limits liability that cannot be limited by law.

11. No warranty

The dashboard, including Beta features, is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the dashboard, the APK builder, or any third-party API or service it connects to (Gemini, Claude, Groq, GitHub, Razorpay) will be uninterrupted, error-free, accurate, or fit for production use.

12. Termination

You can stop using Black UI at any time and ask us to delete your account (see the Privacy Policy). We may suspend or end your access as described in Section 7, or if we discontinue the service. Sections that by their nature should survive termination (for example ownership, disclaimers, liability, refunds and governing law) will survive.

13. Governing law

These terms are governed by the laws of India, with courts in Assam having jurisdiction, without regard to conflict-of-law principles.
